1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and TickLake Inc. ("TickLake," "we," "our," or "us") governing your access to and use of the TickLake data infrastructure platform.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.
2. Description of Services
TickLake provides market data infrastructure services, including:
- Real-time market data capture from cryptocurrency exchanges
- Historical data storage and replay capabilities
- Data normalization across multiple venues
- API access via WebSocket and gRPC protocols
- Client libraries for Python and Rust
3. Eligibility
TickLake services are intended for professional use by:
- Registered businesses and trading firms
- Qualified institutional investors
- Professional traders and researchers
By using our services, you represent that you have the legal capacity to enter into binding contracts and that you are not prohibited from using our services under applicable law.
4. Account Registration
To access our services, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring your contact information remains current
5. Subscription and Payment
Fees
Access to TickLake requires a paid subscription. Current pricing is available on our website. All fees are quoted in USD unless otherwise specified.
Billing
Subscriptions are billed monthly in advance. Payment is due upon invoice. We accept payment via wire transfer, ACH, or credit card.
Refunds
Fees are non-refundable except as required by law or as explicitly stated in a separate written agreement.
6. Acceptable Use
You agree not to:
- Resell, redistribute, or sublicense TickLake data without authorization
- Attempt to reverse engineer our systems or infrastructure
- Use our services for any illegal purpose
- Interfere with or disrupt our services or servers
- Exceed rate limits or abuse API access
- Share account credentials with unauthorized parties
7. Data Ownership
Your Data
Market data captured on your behalf during your subscription remains your property. You may export your data at any time in standard formats (Parquet, CSV).
Our Infrastructure
All intellectual property rights in our platform, including software, documentation, and methodologies, remain our exclusive property.
8. Service Level Agreement
TickLake commits to 99.9% monthly uptime for data capture and API availability, excluding:
- Scheduled maintenance (with 24-hour advance notice)
- Exchange outages or API changes beyond our control
- Force majeure events
Service credits may be issued for SLA violations at our discretion.
9. Disclaimer of Warranties
TICKLAKE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:
- Services will be uninterrupted or error-free
- Data will be 100% complete or accurate
- Services will meet your specific requirements
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TICKLAKE SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Trading losses or investment decisions based on our data
Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless TickLake, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these Terms.
12. Termination
Either party may terminate this agreement:
- With 30 days written notice for convenience
- Immediately for material breach
- Immediately if required by law
Upon termination, you may export your data within 30 days. After this period, we may delete your data.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days notice of material changes. Continued use of our services after changes take effect constitutes acceptance of the new Terms.
